By accessing, browsing, or using any part of the FonadaLabs platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions and our Privacy Policy. These terms constitute a binding agreement between you and Shivtel Communications Pvt. Ltd.

If you are accessing the platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms, in which case "you" refers to that entity.

FonadaLabs provides an ultra-low latency AI voice and communication platform hosted in India, offering services including but not limited to:

• Text-to-Speech (TTS) synthesis
• Speech-to-Text (STT) transcription
• AI-powered noise cancellation and audio enhancement
• Voice AI agents and telephony services
• APIs and developer tools for voice and communication integration

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

You must be at least 18 years of age to use the FonadaLabs platform. By using our services, you represent and warrant that you meet this age requirement. Users must comply with all applicable local, national, and international laws and regulations when accessing or using our platform. Access from territories where such use is prohibited by law is not permitted.

To access certain features of the platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your credentials confidential and not share them with any third party
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

FonadaLabs reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these terms.

All content on the FonadaLabs platform — including but not limited to text, code, software, graphics, logos, icons, images, audio clips, and data compilations — is the exclusive property of Shivtel Communications Pvt. Ltd. and is protected under applicable intellectual property laws.

FonadaLabs and the FonadaLabs logo are trademarks of Shivtel Communications Pvt. Ltd. You may not use, copy, reproduce, modify, distribute, or display any of our trademarks, logos, or proprietary content without prior written permission from us.

You are granted a limited, non-exclusive, non-transferable, royalty-free license to access and use the platform solely for your personal or internal business purposes in accordance with these terms.

You agree not to use the FonadaLabs platform to:

• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of others
• Transmit any unlawful, harmful, defamatory, obscene, or fraudulent content
• Attempt to gain unauthorized access to any part of the platform or its related systems
• Interfere with or disrupt the integrity or performance of the platform
• Use the services to conduct any automated data scraping, crawling, or harvesting
• Reverse-engineer, decompile, or attempt to extract the source code of any part of the platform
• Engage in any conduct harmful to other users, third parties, or the reputation of FonadaLabs

Any information you submit to FonadaLabs through the platform — including service requests, feedback, suggestions, chat messages, or other communications — is deemed non-confidential unless otherwise expressly stated in a separate written agreement.

FonadaLabs disclaims responsibility for any breach of confidential or personal data submitted through the website. You are solely responsible for the content you transmit via our platform. We may use submitted information to improve our services to the maximum extent permitted by applicable law.

FonadaLabs is committed to protecting your privacy and ensuring complete data sovereignty. All data processed on our platform is hosted within India, in compliance with applicable Indian data protection laws. Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms & Conditions by reference.

Certain features of the FonadaLabs platform are available on a paid subscription basis. By subscribing to a paid plan, you agree to pay all applicable fees as described on our pricing page. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing at any time with reasonable notice to existing subscribers.

Failure to pay applicable fees may result in suspension or termination of your access to paid features.

FonadaLabs reserves the right to terminate or suspend your access to the platform at any time, with or without prior notice, for reasons including but not limited to:

• Violation of these Terms & Conditions
• Violation of any applicable law or regulation
• Conduct that is harmful to other users, third parties, or FonadaLabs
• Non-payment of fees
• Any other reason at our sole discretion

Upon termination, your right to use the platform immediately ceases. All provisions of these terms that by their nature should survive termination — including intellectual property, disclaimers, and limitations of liability — shall survive.

The FonadaLabs platform and all its services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Shivtel Communications Pvt. Ltd. disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

To the maximum extent permitted by applicable law, Shivtel Communications Pvt. Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or in connection with your use of the platform, even if advised of the possibility of such damages.

FonadaLabs reserves the right to change or modify these Terms & Conditions at any time without prior notice. Changes will be effective immediately upon posting to the platform. Your continued use of the platform following any changes constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.
